Any person accessing the secure portal developed and operated by Airport Development Group Pty Limited (or its subsidiaries) (Discloser) for industry consultation regarding its Conditions of Use (Recipient) acknowledges and agrees that it will be accessing information which is confidential and proprietary in nature (Confidential Information), and any disclosure of the information would result in loss or damage being suffered by the Discloser. The parties acknowledge that damages may be an inadequate remedy for any release or misuse of the Confidential Information and, subject to the court’s discretion, the Discloser may seek specific performance, injunctive relief or similar remedy as a remedy for any conduct or threatened conduct which is or would result in misuse or release of the Confidential Information in addition to any other remedies available at law or in equity. 

Accordingly, the Recipient undertakes not to: 

• use or cause or permit the use of, the Confidential Information except to the extent necessary to provide feedback to the Discloser in relation to the Conditions of Use (Approved Purpose);

• create, or cause or permit the creation of, a document using or containing the Confidential Information except to the extent necessary for the Approved Purpose; or

• make use of the Confidential Information to the commercial, financial or competitive disadvantage of the Discloser.

The Recipient acknowledges that: 

• no representations or warranties, express or implied, have been made by or on behalf of the Discloser as to the accuracy, currency or completeness of the Confidential Information;

• the Recipient must make its own assessment of all Confidential Information disclosed to it and satisfy itself as to its accuracy, currency and completeness;

• any reliance by the Recipient on any Confidential Information, or any use of any Confidential Information, is solely at its own risk; and

• any disclaimer statement in any electronic data room protocol accepted by the Recipient in connection with the provision of Confidential Information applies to all Confidential Information whether disclosed in such an electronic data room or not.
